Terms of Service

1. Acceptance of Terms

By using SLAx ("Service"), you agree to these Terms. If you do not agree, you may not use the Service. You must be at least 18 years old to create an account and use the Service. By using the Service, you confirm you are at least 18 years old.

2. Service Description

SLAx provides an RPC analytics platform for blockchain infrastructure. Our Service includes:

• Monitoring: Continuous monitoring of blockchain RPC endpoint availability and performance
• Leaderboard: Public rankings of RPC providers based on uptime and performance metrics
• Alerts: Configurable notifications via webhooks when endpoints experience downtime or degradation (Pro plan)
• Historical Analytics: Detailed performance history, trends, and reporting for monitored endpoints (Pro plan)

3. Account Terms

• You must provide accurate and complete registration information and keep it up to date
• You are responsible for maintaining the security of your account credentials. SLAx is not liable for any loss resulting from unauthorized access to your account
• Accounts are non-transferable and may not be shared with or assigned to third parties
• You may only maintain one account per person. Duplicate accounts may be terminated
• You must promptly notify us of any unauthorized use of your account

4. Free and Pro Plans

Free Plan

The Free plan provides access to the public leaderboard and basic monitoring data at no cost. Free plan features may be modified at our discretion.

Pro Plan

The Pro plan is available at $29 per month and includes advanced features such as alert configuration, historical analytics, and priority support. Pricing may change with at least 30 days written notice. Price changes take effect at the start of your next billing cycle following the notice period.

5. Billing and Payment

• All payments are processed securely through Stripe. By subscribing to a paid plan, you agree to Stripe's terms of service
• Pro subscriptions are billed monthly and renew automatically until cancelled
• You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period, and you will retain access to Pro features until then
• We do not offer partial refunds for unused portions of a billing period
• If a payment fails, we will attempt to process it again. If payment cannot be collected after reasonable attempts, your account may be downgraded to the Free plan
• Taxes: Listed prices are in USD and exclude any applicable local taxes (such as VAT or GST). Stripe, our payment processor, may calculate and collect applicable taxes based on your location at checkout
• EU Consumers: If you are an EU consumer, by subscribing you explicitly request that service delivery begin immediately and acknowledge that this may waive your 14-day right of withdrawal under the EU Consumer Rights Directive

6. Acceptable Use

You agree not to:

• Abuse, overload, or interfere with the operation of the Service or its infrastructure
• Scrape, crawl, or use automated tools to extract data from the Service beyond what is provided through our intended interfaces
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
• Resell, redistribute, or sublicense access to the Service without our written permission
• Attempt to gain unauthorized access to other users' accounts or our internal systems

7. Intellectual Property

• Platform Ownership: SLAx owns all rights, title, and interest in the platform, including its software, design, analytics algorithms, and branding
• Monitoring Data: RPC monitoring data is derived from publicly accessible blockchain endpoints and is factual in nature. Our aggregation, analysis, and presentation of this data is proprietary
• Your Data: You retain ownership of your account information and any configurations you create within the Service
• License to Use: We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms

9. Service Availability

We aim for high availability but do not guarantee uninterrupted service. The Service may be unavailable for maintenance, updates, or reasons outside our control. We are not liable for these interruptions.

10. Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

• To the maximum extent permitted by law, SLAx's total aggregate liability arising from or related to these Terms or the Service shall not exceed the total amount you paid to SLAx in the 12 months preceding the event giving rise to the claim
• In no event shall SLAx be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, regardless of the cause of action

11. Indemnification

You agree to indemnify, defend, and hold harmless SLAx, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your violation of these Terms, your use of the Service, or your violation of any rights of a third party.

12. Termination

• You may close your account at any time by contacting us or through your account settings
• We may suspend or terminate your account if you violate these Terms, with notice where practicable
• Upon termination, your right to access the Service ceases immediately. Your account data will be deleted after 30 days, unless retention is required by law
• Sections relating to intellectual property, limitation of liability, indemnification, and governing law survive termination

13. Governing Law

These Terms are governed by the laws of the Province of Quebec, Canada.

14. Dispute Resolution

• Informal Resolution: Before initiating formal proceedings, you agree to first contact us at support@slax.sh and attempt to resolve the dispute informally for at least 30 days
• Court Jurisdiction: If a dispute cannot be resolved informally, it will be subject to the exclusive jurisdiction of the courts of the Province of Quebec, Canada

15. Changes to Terms

We may modify these Terms at any time. For material changes, we will provide at least 30 days notice via email to the address associated with your account. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service before they take effect.

16. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and SLAx regarding the Service
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect
• Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or our right to enforce it in the future
• Assignment: You may not assign or transfer your rights under these Terms. SLAx may assign its rights and obligations without restriction
• Force Majeure: SLAx shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including natural disasters, acts of government, internet disruptions, or other force majeure events
